General Terms & Conditions Attached to Quotations and Online Sales

1. Definition

Seller: United Bearing Co., including their assigns. Buyer: The other party to the contract and their assigns.

Product: All goods including software and services related to maintenance, spindle, lubrication systems, computer-based training, and bearing accessories under various brand names such as SKF, FAG, NTN, NSK, THK, KOYO, TIMKEN, IKO, INA, and NACHI.

2. Commitment to Sale

The Seller’s commitment to sale and supply Product shall be valid only when made in writing. Until formal communication of acceptance is made, there is no commitment for sale and supply.

3. Quotation Validity

Unless otherwise specified, quotations submitted by the Seller are valid for 30 days from the date of submission.

4. Prices & Taxes

Prices are firm as stated in the quotation/offer. Taxes and levies will be charged as applicable at the time of delivery.

5. Delivery

Products will be delivered as per the Seller’s delivery schedule and must be paid for under agreed payment terms.

6. Transfer of Ownership

The Seller’s responsibility ceases once the title to the Product passes to the Buyer as per the contract.

7. Delivery Time

The time of delivery is calculated from the date of receipt and acceptance of a technically and commercially clear order by the Seller.

8. Rejections

Rejections or discrepancies must be reported in writing within 5 days of receiving goods.

9. Payment Deductions

No payment shall be withheld or adjusted unless agreed in writing by the Seller.

10. Warranty

The manufacturer’s warranty applies, limited to 12 months after delivery.

11. Limitation of Liability

The Seller shall not be liable for indirect, consequential, or economic losses.

12. Terms Precedence

The Seller’s general conditions attached to quotations or invoices prevail over any buyer acknowledgment.

13. Governing Law

The contract shall be governed by Indian laws, with Chennai courts holding exclusive jurisdiction.
